Terms of Service

When I deliver an SEO or AI discoverability audit, the audit document is yours to keep regardless of whether you proceed with an ongoing engagement. You are free to use the audit internally, share it with your team, or hand it to another provider for implementation.

However, the audit content, methodology, frameworks, and scoring systems are the intellectual property of Lesli Rose. You may not resell, redistribute, or publish the audit publicly without written permission.

For me to do my best work, I need your cooperation. This includes:

• Providing access to your website, CMS, analytics platforms, and any other tools relevant to the engagement
• Providing timely feedback on deliverables and recommendations
• Designating a point of contact who can make decisions or escalate them quickly
• Communicating any changes to your business, website, or goals that may affect the work

Delays caused by lack of access or feedback may affect timelines and are not my responsibility.

All work is invoiced either per project or on a monthly retainer basis, as outlined in the engagement proposal. Payment is due within 30 days of invoice date unless otherwise agreed in writing.

Late payments may result in a pause of services until the account is current. I reserve the right to charge interest on overdue invoices at a rate of 1.5% per month.

Audit reports and strategy documents remain the intellectual property of Lesli Rose. They are licensed to you for internal use within your organization. You may not resell or publicly distribute them.

Implementation work performed directly on your website, server, or platforms becomes your property upon payment. This includes code, content, configuration changes, and any assets created specifically for your site.

Proprietary tools, templates, and frameworks that I use during the engagement remain my intellectual property and are not transferred to the client.

SEO results cannot be guaranteed. Search engine algorithms change, competitors adjust their strategies, and market conditions shift. I provide expertise, best practices, and data-driven recommendations -- not guaranteed outcomes.

I will never promise specific rankings, traffic numbers, or revenue increases. Anyone who does is not being honest with you.

My total liability for any claim arising from an engagement is limited to the amount paid for that specific engagement. I am not liable for indirect, incidental, or consequential damages including lost profits or lost data.

All client data, business information, and audit findings are kept confidential. I will not share your data with third parties without your explicit consent.

I may use anonymized, non-identifying information from engagements as case studies for marketing purposes -- for example, describing a percentage improvement in a specific industry without naming the client. If you prefer to opt out of this entirely, let me know in writing and I will respect that.

Either party can terminate an engagement with 30 days written notice. Upon termination:

• All work completed to date is billable and must be paid for
• Any deliverables completed will be provided to you
• Access credentials provided to me will be revoked
• Confidentiality obligations survive termination

If you terminate before a deliverable is complete, I will invoice for work completed to that point on a pro-rata basis.
